1. Agreement to Terms

By accessing or using the services provided by Gareth James Estate Limited ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Gareth James Estate Limited provides professional software development services including but not limited to:

• Algorithm development and optimisation

• Smart contract development (Solidity)
• AI and machine learning software solutions
• Technical coaching and training

3. Service Agreements

All software development projects are subject to separate written agreements that will specify:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality obligations
• Warranties and limitations of liability

4. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in software, code, algorithms, and deliverables created specifically for a client shall be transferred to the client upon full payment. We retain the right to use general techniques, methodologies, and non-proprietary code in future projects.

Pre-existing intellectual property, frameworks, libraries, and tools remain our property or the property of their respective owners.

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• An initial deposit may be required before work commences
• Milestone payments may be structured for larger projects
• Final payment is due upon project completion or as specified in the agreement
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend work if payments are not made as agreed

6. Confidentiality

We understand the sensitive nature of client projects and maintain strict confidentiality. We will not disclose any confidential information about your project, business, or data to third parties without your explicit consent, except as required by law.

7. Warranties and Disclaimers

We warrant that services will be performed with reasonable skill and care. However, software development involves inherent uncertainties. Except as expressly provided in a written agreement:

• Services are provided "as is" without warranties of any kind
• We do not guarantee that software will be error-free or uninterrupted
• We are not liable for any indirect, consequential, or incidental damages
• Our total liability is limited to the fees paid for the specific project

8. Client Responsibilities

Clients are responsible for:

• Providing timely access to necessary information, systems, and personnel
• Reviewing deliverables and providing feedback within agreed timeframes
• Ensuring they have rights to any materials provided to us
• Maintaining backups of their data and systems
• Complying with applicable laws and regulations in their use of our services

9. Termination

Either party may terminate a service agreement as specified in that agreement. Upon termination:

• Client must pay for all work completed to date
• We will deliver all completed work and materials
• Both parties must return or destroy confidential information as requested
• Provisions regarding confidentiality and intellectual property survive termination

10. Governing Law

These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes. Continued use of our services after such modifications constitutes acceptance of the updated terms.
